Membership Agreement.

Plain-language summary of what every AILCN member agrees to at enrollment. Together with the Standards of Conduct, it defines the binding terms of membership.

Draft for review. The finalized, legally-binding Membership Agreement is published before the 2026 application window opens. Material terms (monthly fee, $495 lifetime lock for 2026 joiners, $3,500 certification fee, participation-revenue structure, mandatory platform processing) are final and won't change.

    Membership grant

    Approved applicants receive a non-exclusive, non-transferable license to use the AILCN methodology, the ExpandPro platform, the AI helpers, the AILCN brand assets defined in the Standards of Conduct, and access to the member community and Deal Exchange Board. Membership is personal and tied to the individual consultant — not assignable to a firm, partner, or employee.

    Monthly membership fee

    $495 per month, billed in advance. For members who join during the 2026 calendar year, the $495 monthly rate is locked for the lifetime of continuous active membership. Members who lapse and re-join enroll at the then-current rate, not the locked $495. The rate may rise for members joining in 2027 and beyond.

    Certification fee

    $3,500 one-time, paid upon completion of certification. Certification requires running at least one client engagement on the platform — proof of active operator status. The fee activates: the Find-a-Consultant public listing, eligibility for inbound lead routing, the Certified Member badge, peer-review eligibility, and contributor status for the Annual State of Workforce Alignment Report. The fee is non-refundable once distribution is activated.

    Direct engagement revenue

    100% of every Workforce Alignment Assessment, Strategic Alignment Engagement, advisory retainer, course, workshop, or other direct client engagement the member sources belongs to the member. AILCN takes no share on direct engagement revenue.

    Recurring Client Participation Revenue

    On every platform subscription, pulse monitoring system, benchmarking package, executive dashboard, AI module, ExpandLMS account, recurring KPI tracking, or intelligence subscription the member originates and stewards, the member earns: 70% in Year 1, 50% in Year 2, and 35% in Year 3 and beyond. Participation continues for as long as (a) the client account remains active on the platform, (b) the member remains a certified AILCN member in good standing, and (c) the member maintains documented account participation per the activity requirement.

    Activity requirement

    After Year 2 of an account, continued participation requires real account activity — quarterly strategic reviews, executive check-ins, assessment facilitation, or other documented stewardship work. Accounts without documented activity for two consecutive quarters revert to the platform and may be reassigned. This protects clients from orphaned accounts and protects active members from passive collectors.

    Platform-routed inbound leads

    On engagements originated through the AILCN Find-a-Consultant directory or other platform-driven inbound channels, the consultant earns a 70% revenue share. AILCN retains 30% as compensation for the acquisition cost the platform absorbed.

    Referral override

    Members who refer another consultant who completes certification and remains an active certified member for at least 12 months earn a 5% override on the platform revenue the referred consultant generates during their first 12 months of certified membership. The override is paid only on Year-1 revenue; no override applies in subsequent years.

    Mandatory platform processing

    All certified consultants agree that platform subscriptions, monitoring services, recurring billing, and platform-routed engagements process through the ExpandPro infrastructure. Centralized processing is the operational foundation of the participation-revenue model — it enables automated payouts, reporting consistency, and the anonymized benchmark intelligence that compounds across the network. The participation share depends on this policy.

    Use of methodology and brand

    Members are licensed to deliver client work using the Workforce Alignment Operating System and to represent themselves as AILCN-certified, subject to the Standards of Conduct. The methodology, the platform code, the AI helpers, and the AILCN trademarks remain the property of Exitou, Inc. / ExpandPro. Members may not white-label, re-license, or resell the methodology or platform.

    Termination and forfeiture

    Membership may be terminated by the member at any time with 30 days' notice. AILCN may terminate membership for: non-payment, breach of the Standards of Conduct, methodology misuse, client harm, or other material breach. On termination: platform access ends, the Find-a-Consultant listing is removed, the Certified Member badge is revoked, and ongoing Recurring Client Participation Revenue stops. Engagements in flight at termination are completed in coordination with AILCN to protect client continuity.

    Privacy and data

    Member and client data is handled per the ExpandPro privacy policy. See expandpro.ai/privacy for the full terms. Anonymized, aggregated client data may be used to compute industry benchmarks and contribute to the Annual State of Workforce Alignment Report.
